Zakhir Electronic Wallet
Introduction
These Terms and Conditions govern the registration, access, and use of Zakhir’s Agent application.
They apply to every person or entity approved by Zakhir to act as an Agent in connection with the provision of Zakhir Electronic Wallet services.
By registering as an Agent, accessing the Agent application, or using any Agent-related services, you acknowledge that you have read, understood, and agreed to comply with these Terms and Conditions.
About Zakhir
Zakhir is an electronic wallet service by SQUARE ONE MARKETING CO.
Definition of Agent
An Agent is a natural or legal person appointed by Zakhir to provide specific services related to the Wallet, including but not limited to account opening, balance top-ups, cash withdrawals, transfers, cash redemption by code and the provision of technical or advisory support to customers, as authorized by Zakhir.
General Conditions for Registration as an Agent
To qualify as an Agent, the applicant must:
- Hold a valid commercial registration, where applicable.
- Submit all required official documents, including but not limited to identification documents, business license, lease agreement, and any other documents requested by Zakhir.
- Comply with all policies, procedures, and operational requirements adopted by Zakhir.
- Successfully complete any training, onboarding, or assessments required by Zakhir.
Obligations of the Agent
The Agent shall:
- Deliver services to customers in a professional, transparent, and lawful manner.
- Provide only those wallet services expressly authorized by Zakhir.
- Not charge customers any fees, commissions, or other amounts not officially approved by Zakhir.
- Maintain strict confidentiality of all customer, transaction, and system information and not use, copy, or disclose such information except as authorized by Zakhir or required by law.
- Periodically update its information and documents with Zakhir and promptly notify Zakhir of any material changes.
- Comply with all applicable laws, regulations, instructions, and all policies and procedures issued by Zakhir from time to time.
- Refrain from making any false representation, promise, warranty, or commitment on behalf of Zakhir unless expressly approved in writing.
- Refrain from any action or omission that may harm the reputation, operations, customers, or systems of Zakhir.
- Immediately report to Zakhir any suspicious transaction, fraud, attempted fraud, unauthorized activity, customer complaint, data breach, or misuse of the wallet system.
- Maintain proper and accurate records of all services and transactions carried out through the Wallet.
- Cooperate fully with Zakhir in any audit, inspection, review, investigation, or complaint handling process.
Rights of the Agent
The Agent shall have the right to:
- Receive commission or financial compensation for the services provided, in accordance with the approved commission policy of Zakhir.
- Receive technical support, guidance, and training from the Zakhir team.
- Request termination of this Agreement by providing Zakhir with at least 30 days’ prior written notice.
Zakhir’s Authority
Zakhir reserves the right to:
- Amend its policies, procedures, operational requirements, or commission structures, provided that prior notice is given to the Agent.
- Conduct regular or ad hoc inspection visits to the Agent’s business premises and operations.
- Review the Agent’s records, service quality, and compliance with this Agreement and applicable policies.
- Suspend or revoke the accreditation of the Agent in the event of any non-compliance, misconduct, fraud, breach of confidentiality, charging of unauthorized fees, regulatory breach, or any act that may expose Zakhir or its customers to risk.
Term and Termination of the Agreement
This Agreement shall enter into force from the date of approval of the Agent by Zakhir and shall remain valid unless terminated by either party in accordance with these Terms and Conditions.
Zakhir reserves the right to suspend or terminate this Agreement immediately, without prior notice, in the event of any serious breach by the Agent, including but not limited to fraud, misconduct, breach of confidentiality, regulatory non-compliance, unauthorized fees, misuse of Zakhir systems, or any act that may damage Zakhir’s interests or reputation.
Upon suspension or termination of this Agreement, the Agent shall immediately:
- Cease providing wallet services.
- Stop using Zakhir’s name, logo, branding, systems, materials, or tools.
- Return or destroy, as instructed by Zakhir, any confidential information, records, materials, devices, or property belonging to Zakhir.
General Provisions
- This Agreement shall be governed by the laws of the country in which Zakhir operates.
- In the event of any dispute arising out of or in connection with this Agreement, the parties shall first seek to resolve the matter amicably. If the dispute is not resolved, it shall be referred to the competent judicial authorities.
- The electronic version of this Agreement shall be considered valid, binding, and enforceable.
- If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
